  • How to use the Records
    System of Arrangement/Control

    Series : Range of "Foreign" company registrations numbers on spine. Volumes also numbered sequentially with "F" prefix.

    Contents : Sequential "Foreign" company registration number (one company per page).

    Since 1897 Foreign companies have been required under Section 70(1) of the Companies Act 1896 and subsequent Companies Acts to lodge with the Government evidence of their incorporation, name and any significant practices or changes to the company's registration.

    A Foreign company is a company operating within Victoria but originally formed or incorporated outside it. Since 1985 such companies have been known as Recognised companies.

    Specifically this series records:
    full name of the company
    amount of nominal capital, and
    the date and place of original incorporation.

    Individual documents received are entered on the same page and detail:
    date of document
    date of registration of document
    sequential number allocated to document as placed within the relevant file.
    and (in the first 11 volumes), the name and place of abode or business of the company's attorney or agent in Victoria.

    If all available space on a page(s) was filled, subsequent entries were usually recorded on another page(s) within the same register and then the next available vacant page or folio. The complete record of documents received from a given company could thus be spread across a number of separate registers which are all cross referenced. The registered trading company number does not change in these instances.

    Pages may also be annotated with details of the publication of Government Gazette notices pertaining to the dissolution of the company and the cancellation of the registration.

    System of Arrangement/Control

    Volumes are arranged in chronological order of registration date. The range of page (or company) numbers is imprinted on the spines of each register. All volumes were also sequentially numbered with an "F" prefix. These volume numbers do not appear to have any significance in the overall record keeping system and were probably allocated simultaneously.

    Indexes

    No indexes created as part of the original record keeping system have been located or identified.

    Foreign company registration numbers can be obtained from one of two microfiche indexes generated for archival use from a computer system which contained detail on all Foreign/Recognised company registrations. One of these series (VPRS 8268) relates to defunct registrations and the other (VPRS 8267) covers registrations still current at the end of August 1990.

    End of Series

    Information relating to companies registered after Foreign company number 9091 in 1972 was recorded on a card based register. Detail continued to be entered into the volumes of this series for those companies originally recorded in the registers for a couple of years when this information was also entered on the card register system. Company entries converted to cards are identified by the annotation "card" written across the page.

    The card register was destroyed by Corporate Affairs early in 1991 following microfilm.
