    This series comprises debentures lodged by companies and registered by the Company Registration Branch of the office of the Registrar-General.

    Each debenture has been maintained in an envelope or else in some form of plastic cover with the number of the debenture recorded on both the envelope and the debenture itself.

    Debenture numbers were allocated from the Register of Charges/Company Debentures (VPRS 8281). No indexes have been identified for this series.

    Any entry of satisfaction ie. the partial or whole release of a particular property from a charge, was recorded as a handwritten entry of "satisfaction entered" in the Register of Charges/Company Debentures and on the appropriate debenture. (Refer Companies Act, 1958; No.6455, Division 7. s77).

    It is understood that creation of this series ceased from approximately 1974 when Corporate Affairs began a microfilming program for trading company registration records. Debentures lodged after this time were filmed and inserted in the relevant microfiche trading company registration file. The original document was then destroyed. None of these microfiche files are currently in PRO custody.

    It is also believed that all debentures create pre 1974 and not in PRO custody have since been destroyed.

    Background : Debentures

    Each company debenture lodged in this series was utilised as an instrument by a company to create a Charge (which is a form of security for the payment of a debt). (Refer Companies Act, 1958; No.6455, Division 4 & 7).

    A debenture is an instrument usually under seal, issued by a company or public body as evidence of a debt or as security for a loan of a fixed sum of money, at interest. It contains a promise to pay the amount mentioned in it. The term "debenture" thus also (as in this case) applies to other instruments such as mortgages. A "debenture" includes all securities of a company whether constituting a Charge on the assets of the company or not.
