    THE FILES IN THIS SERIES ARE INDEXED BY VPRS 8275 INDEX TO DEFUNCT MINING COMPANIES AND PROSPECTING SYNDICATES AND ARE REGISTERED IN VPRS 8276 REGISTER OF PROSPECTING SYNDICATES.

    Records in this series are arranged sequentially by prospecting syndicate registration number.

    Function/Contents

    This series comprises files relating to the registration of prospecting syndicates under the provisions of the Companies Act 1938. This legislation required that prospecting syndicates wishing to incorporate register with the Registrar of Companies. These files consist of the documents required to be lodged with the Office in order to satisfy ongoing registration.

    A prospecting syndicate was defined in the legislation as any syndicate, association, partnership or co-adventure for prospecting purposes which had undefined capital, an indefinite number of regular contributions, and total contributions not exceeding 1000.

    Series/Contents Date Range

    The files in custody relate to all prospecting syndicates which had been registered between 1939 and 1958. Prospecting syndicates appear to have ceased to be separately registered after 1958. Documentation continued to be added to the series until 1966 when the last registered prospecting syndicate became defunct.

    Filing Process

    The prospecting syndicate registration numbers were allocated sequentially from the Register of Prospecting Syndicates, VPRS 8276 when a syndicate applied to be registered. Prior to such registration occurring, the applicants were required to lodge certain documents as a form of application (see below for details) with the Office " to be there retained and filed " thus forming the basis for the Prospecting Syndicate Registration Files.

    The register is the prime record signed by the Registrar-General which "effects" registration of the company as a body corporate (ie. the process of incorporation). A certificate of registration was supplied to the syndicate after this process.

    Documents received were marked with the prospecting syndicate number and filed accordingly. Each document within each file was also sequentially numbered upon receipt.

    Contents of Files

    Usually files will contain :

    initial application memorandum , known as Memorandum and Articles of Association, containing details such as:
    - the name of the prospecting syndicate,
    - the place of operation,
    - the address of the registered office of the syndicate,
    - the number of shares subscribed for,
    - the name of the manager,
    - the names, addresses and occupations of the shareholders.

    a copy of the rules and regulations of the syndicate and any alterations to these;

    notices of change in managers or address of office

    half yearly statements;

    a copy of the winding up order.

    Previous Series

    Prior to 1938 there does not appear to have been provision for the registration of the incorporation of prospecting syndicates.

    Subsequent Series

    It seems clear that separate prospecting syndicate registration ceased with the introduction of the Companies Act 1958 and the creation of the Companies Registration Office (VA 2725) in 1959.

    P Consignment

    The P consignment of this series was previously located in unit 854 of VPRS 567 Mining Company Registration Files. It is not known when this unit was removed and registered separately. The registration file for prospecting syndicate number 6 does not appear to have been transferred to the Public Record Office.
